Terms of Service

1. Parties and Acceptance

These Terms of Service ("Terms") govern your access to and use of the Txoozix platform ("Service"), operated by Jesús Arias Romero (NIF 46605472C), trading as Txoozix / KodaiDev, based in Cambrils, Tarragona, Spain ("we", "us", "our").

By creating an account or using the Service, you ("User", "you") agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Description of Service

Txoozix is a Software-as-a-Service (SaaS) platform that measures brand visibility in AI-generated answers from major AI engines including ChatGPT, Perplexity, Gemini, and Google AI Overviews. The Service calculates a GEO Score (0–100), tracks competitor visibility, and converts uploaded SEO keywords into AI-optimised conversational queries.

3. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to use the Service. Txoozix is available to users worldwide, subject to any applicable local legal restrictions.

4. Account Registration

You must register for an account to use the Service. You agree to provide accurate, complete, and current information and to keep it updated. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. Notify us immediately via our contact form if you suspect unauthorised access.

5. Subscription Plans and Billing

5.1 Plans

The Service is offered on a subscription basis under the Starter, Pro, and Agency plans as described on the pricing page. Features and limits may be updated from time to time with reasonable notice.

5.2 Payment

Subscriptions are billed monthly or annually in advance in US Dollars (USD). Payments are processed by Stripe, Inc. By providing payment information, you authorise us to charge the applicable fees to your payment method on the billing date.

5.3 Automatic renewal

Subscriptions renew automatically unless cancelled before the renewal date. You can cancel at any time from your account settings.

5.4 Refunds

Monthly plans: no refunds for partial months already paid. Annual plans: non-refundable, but you may cancel to prevent renewal. If you believe there has been a billing error, contact us within 14 days of the charge and we will investigate.

5.5 Price changes

We reserve the right to change subscription prices with at least 30 days' written notice. Continued use after the effective date constitutes acceptance of the new pricing.

6. Keyword Data

By uploading keywords or entering queries into the Service, you confirm that you have the right to use and process that data. Txoozix uses your keywords solely to generate AI-optimised queries and calculate your GEO Score. See our Privacy Policy for details on how this data is handled.

7. Acceptable Use

You agree not to:

  • Use the Service to collect data on third parties without their consent
  • Attempt to reverse engineer, scrape, or create derivative works from the Service
  • Use the Service to engage in any activity that is unlawful, harmful, or violates third-party rights
  • Share your account credentials with third parties or resell access to the Service without prior written consent
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
  • Attempt to gain unauthorised access to any part of the Service or its related systems

Violation of these rules may result in immediate account suspension or termination without refund.

8. Intellectual Property

All intellectual property rights in the Service, including the GEO Score algorithm, software, design, trademarks, and content, remain the exclusive property of Jesús Arias Romero / KodaiDev. These Terms do not grant you any ownership rights in the Service.

You retain all rights to your own data (domains, keywords, reports). You grant us a limited licence to process your data solely for the purpose of providing the Service.

9. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Service Availability

We strive to maintain the Service with high availability but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance where possible. We are not liable for downtime caused by third-party providers (including AI engine providers), force majeure events, or circumstances outside our reasonable control.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied
  • We do not warrant the accuracy, completeness, or usefulness of GEO Scores or any reports generated by the Service
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • Our aggregate liability for any direct damages shall not exceed the total fees paid by you in the 12 months preceding the claim

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

12. Indemnification

You agree to indemnify and hold harmless Txoozix, its operator, and its affiliates from any claims, losses, or damages (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

Either party may terminate the contract at any time. You may cancel your account from your dashboard settings. We may suspend or terminate your account if you breach these Terms, fail to pay, or if we cease operating the Service. Upon termination, your access to the Service and your data will be deactivated according to the retention policy in our Privacy Policy.

14. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes by email or a notice within the Service at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Spain. Any disputes shall be submitted to the competent courts of Tarragona, Spain, unless mandatory consumer protection laws in your country provide for a different jurisdiction.

If you are a consumer resident in the European Union, you also have the right to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

16. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Txoozix regarding use of the Service. Any prior agreements, representations, or warranties are superseded by these Terms.
